Visoki trgovački sud potvrdio je presudu Trgovačkog suda iz svibnja 2022. godine kojom je odbijena tužba bivšeg ministra graditeljstva Ivana Paladine pomoću koje je pokušao izaći iz suvlasništva u tvrtki Kupari Luxury Hotels d.o.o. Visoki sud ne samo da je odbio Paladinin zahtjev da mu se za njegov poslovni udjel isplati 8,9 milijuna eura, nego mu je naložio da plati sudske troškove u visini od oko sto tisuća kuna, piše Jutarnji list.

Sud je presudio da bivši ministar Paladina "nije dokazao osnovnu pretpostavku, a to je da ga ostali suvlasnici onemogućuju u realizaciji njegovih vlasničkih prava". Sud je naime, utvrdio kako tvrtka ima novog suvlasnika te da s njim Paladina nikad nije poslovao, stoga smatra da nije dokazao da ima problema u ostvarenju svog vlasničkog prava te mu je odbio tužbu.

"Iz provedenog dokaznog postupka, odnosno iz dokumentacije u spisu ne proizlazi da je član društva počinio grubu povredu interesa društva zloupotrebom vladajućeg položaja korištenjem sredstvima prisile prema tužitelju (Paladini). Stoga valja zaključiti kako svako neslaganje (sukob) članova društva ne daje pravo članu društva na istupanje. Samo ponašanje člana (članova) kojim se suprotno načelu savjesnosti nanosi šteta ili se diskriminira drugog člana može (uz ostale nužne pretpostavke) ukoliko se dokaže – biti podloga opravdanosti razloga za istupanje. U konkretnoj situaciji pravilno je zaključio sud da nisu dokazane pretpostavke iz članka 420. stavka 2. ZTD-a, zbog čega je sud pravilno odbio tužbeni zahtjev, a sve kako je odlučio u izreci presude", stoji u obrazloženju presude.

To sad znači da Paladina i dalje ostaje suvlasnik u spomenutoj tvrtki ukoliko se ne odlučio vlastiti udio u kompaniji prodati novim vlasnicima koji su mu, pak, spremni platiti onoliko koliko su platili bivšem ruskom većinskom suvlasniku projekta Kupari, odnosno spremni su mu platiti oko 700 tisuća eura za njegov udio od deset posto. Novi vlasnik, tvrtka Kupari Luxury Hotels, s Ministarstvom graditeljstva je nedavno, doznajemo, potpisao Anex II. Ugovoru o realizaciji turističkog projekta Kupari.

Visoki trgovački sud potvrdio je presudu Trgovačkog suda iz svibnja 2022. godine kojom je odbijena tužba bivšeg ministra graditeljstva Ivana Paladine pomoću koje je pokušao izaći iz suvlasništva u tvrtki Kupari Luxury Hotels d.o.o. Visoki sud ne samo da je odbio Paladinin zahtjev da mu se za njegov poslovni udjel isplati 8,9 milijuna eura, nego mu je naložio da plati sudske troškove u visini od oko sto tisuća kuna, piše Jutarnji list.

Sud je presudio da bivši ministar Paladina "nije dokazao osnovnu pretpostavku, a to je da ga ostali suvlasnici onemogućuju u realizaciji njegovih vlasničkih prava". Sud je naime, utvrdio kako tvrtka ima novog suvlasnika te da s njim Paladina nikad nije poslovao, stoga smatra da nije dokazao da ima problema u ostvarenju svog vlasničkog prava te mu je odbio tužbu.

"Iz provedenog dokaznog postupka, odnosno iz dokumentacije u spisu ne proizlazi da je član društva počinio grubu povredu interesa društva zloupotrebom vladajućeg položaja korištenjem sredstvima prisile prema tužitelju (Paladini). Stoga valja zaključiti kako svako neslaganje (sukob) članova društva ne daje pravo članu društva na istupanje. Samo ponašanje člana (članova) kojim se suprotno načelu savjesnosti nanosi šteta ili se diskriminira drugog člana može (uz ostale nužne pretpostavke) ukoliko se dokaže – biti podloga opravdanosti razloga za istupanje. U konkretnoj situaciji pravilno je zaključio sud da nisu dokazane pretpostavke iz članka 420. stavka 2. ZTD-a, zbog čega je sud pravilno odbio tužbeni zahtjev, a sve kako je odlučio u izreci presude", stoji u obrazloženju presude.

To sad znači da Paladina i dalje ostaje suvlasnik u spomenutoj tvrtki ukoliko se ne odlučio vlastiti udio u kompaniji prodati novim vlasnicima koji su mu, pak, spremni platiti onoliko koliko su platili bivšem ruskom većinskom suvlasniku projekta Kupari, odnosno spremni su mu platiti oko 700 tisuća eura za njegov udio od deset posto. Novi vlasnik, tvrtka Kupari Luxury Hotels, s Ministarstvom graditeljstva je nedavno, doznajemo, potpisao Anex II. Ugovoru o realizaciji turističkog projekta Kupari.

Bivši ministar Paladina za udio u Kuparima neće dobiti 9 milijuna eura, mora i platiti 100.000 kuna

Visoki trgovački sud potvrdio je presudu Trgovačkog suda iz svibnja 2022. godine kojom je odbijena tužba bivšeg ministra graditeljstva Ivana Paladine pomoću koje je pokušao izaći iz suvlasništva u tvrtki Kupari Luxury Hotels d.o.o. Visoki sud ne samo da je odbio Paladinin zahtjev da mu se za njegov poslovni udjel isplati 8,9 milijuna eura, nego mu je naložio da plati sudske troškove u visini od oko sto tisuća kuna, piše Jutarnji list.

Sud je presudio da bivši ministar Paladina "nije dokazao osnovnu pretpostavku, a to je da ga ostali suvlasnici onemogućuju u realizaciji njegovih vlasničkih prava". Sud je naime, utvrdio kako tvrtka ima novog suvlasnika te da s njim Paladina nikad nije poslovao, stoga smatra da nije dokazao da ima problema u ostvarenju svog vlasničkog prava te mu je odbio tužbu.

"Iz provedenog dokaznog postupka, odnosno iz dokumentacije u spisu ne proizlazi da je član društva počinio grubu povredu interesa društva zloupotrebom vladajućeg položaja korištenjem sredstvima prisile prema tužitelju (Paladini). Stoga valja zaključiti kako svako neslaganje (sukob) članova društva ne daje pravo članu društva na istupanje. Samo ponašanje člana (članova) kojim se suprotno načelu savjesnosti nanosi šteta ili se diskriminira drugog člana može (uz ostale nužne pretpostavke) ukoliko se dokaže – biti podloga opravdanosti razloga za istupanje. U konkretnoj situaciji pravilno je zaključio sud da nisu dokazane pretpostavke iz članka 420. stavka 2. ZTD-a, zbog čega je sud pravilno odbio tužbeni zahtjev, a sve kako je odlučio u izreci presude", stoji u obrazloženju presude.

To sad znači da Paladina i dalje ostaje suvlasnik u spomenutoj tvrtki ukoliko se ne odlučio vlastiti udio u kompaniji prodati novim vlasnicima koji su mu, pak, spremni platiti onoliko koliko su platili bivšem ruskom većinskom suvlasniku projekta Kupari, odnosno spremni su mu platiti oko 700 tisuća eura za njegov udio od deset posto. Novi vlasnik, tvrtka Kupari Luxury Hotels, s Ministarstvom graditeljstva je nedavno, doznajemo, potpisao Anex II. Ugovoru o realizaciji turističkog projekta Kupari.
